By accessing or using our services, you agree to comply with this policy. This AUP is designed to protect the security, integrity, and availability of our services and to ensure a safe and productive environment for all users. Violation of this policy may result in suspension or termination of your access to our services and may have legal consequences.
1. Prohibited Activities
You may not use our services or platforms to engage in, facilitate, or promote any of the following prohibited activities. This list is not exhaustive, and DimeRepublic reserves the right to take action against any activity that we deem, in our sole discretion, to be harmful to our services, users, or business interests:
- Illegal Activities: Any activity that violates applicable local, state, federal, or international laws or regulations, including but not limited to fraud, money laundering, tax evasion, terrorism financing, human trafficking, and child exploitation.
- Harmful Content: Distributing, uploading, or transmitting malware, viruses, ransomware, worms, Trojan horses, spyware, or any other malicious or harmful software code, files, or scripts.
- Fraud and Deception: Engaging in fraudulent activities, including phishing, identity theft, social engineering, pyramid schemes, investment scams, impersonation of any person or entity, or any form of deceptive practice.
- Harassment and Abuse: Sending threatening, abusive, defamatory, obscene, or harassing communications; engaging in cyberbullying, hate speech, or discrimination based on race, ethnicity, gender, religion, sexual orientation, disability, or any other protected characteristic.
- Intellectual Property Infringement: Unauthorized use, reproduction, distribution, or modification of copyrighted material, trademarks, patents, trade secrets, or other proprietary rights without the express permission of the rights holder.
- Unauthorized Access: Attempting to gain unauthorized access to our systems, networks, servers, databases, or accounts; engaging in penetration testing, port scanning, or vulnerability scanning without prior written authorization; circumventing authentication or security measures.
- Spam and Unsolicited Communications: Sending unsolicited bulk messages, spam, chain letters, or commercial advertisements; harvesting email addresses or other contact information from our platforms without authorization.
- Data Mining and Scraping: Extracting, harvesting, scraping, or crawling data from our platforms, websites, or databases without our express written permission, whether manually or through automated tools (bots, spiders, scrapers).
- Interference with Service Operations: Engaging in activities that interfere with, disrupt, degrade, or impair the operation of our services, including denial-of-service (DoS/DDoS) attacks, flooding, overloading, or crashing our systems.
- Misuse of Resources: Using our services to mine cryptocurrencies, engage in cryptocurrency-related schemes, or consume excessive computing resources beyond normal usage patterns.
- Violation of Third-Party Rights: Infringing on the privacy, publicity, or contractual rights of any third party; accessing or using another person's account without authorization.
- Poaching and Circumvention: Directly soliciting, hiring, or engaging talent introduced by DimeRepublic outside of our engagement terms, or attempting to circumvent our fee structure or service terms.
2. Security Obligations
You are responsible for maintaining the security of your accounts, systems, and access to our services. You agree to adhere to the following security obligations:
- Account Credentials: Maintain the strict confidentiality of your login credentials, passwords, API keys, and any other authentication mechanisms. Do not share your credentials with unauthorized individuals.
- Password Security: Use strong, unique passwords that meet industry best practices (minimum 12 characters, including a mix of uppercase and lowercase letters, numbers, and special characters). Change passwords periodically and immediately if you suspect compromise.
- Multi-Factor Authentication: Enable and use multi-factor authentication (MFA) wherever available for accessing our platforms and services.
- Device Security: Ensure that any devices, computers, or networks used to access our services are secured with up-to-date antivirus software, firewalls, operating system patches, and security configurations.
- Breach Notification: Promptly notify DimeRepublic within 24 hours of becoming aware of any suspected or actual security breach, unauthorized access, or compromise of your account or systems related to our services.
- No Circumvention: Not attempt to disable, bypass, circumvent, or overcome any security measures, access controls, authentication mechanisms, or usage restrictions implemented by DimeRepublic.
- No Reverse Engineering: Not reverse engineer, decompile, disassemble, or otherwise attempt to derive the source code, underlying algorithms, or structure of our software, platforms, or services.
3. Acceptable Use of Talent
Clients engaging talent through DimeRepublic agree to the following standards of conduct regarding placed professionals:
- Work Environment: Provide a safe, respectful, professional, and non-discriminatory work environment that complies with all applicable labor laws, employment regulations, and workplace safety standards.
- Fair Treatment: Treat placed professionals with dignity and respect; do not engage in harassment, discrimination, exploitation, or any form of mistreatment.
- Scope of Work: Use placed talent only for the roles, responsibilities, and scope of work agreed upon in the service agreement. Any material changes to the role require prior consultation with DimeRepublic.
- No Direct Solicitation: Not directly solicit, hire, or engage placed talent outside of DimeRepublic's engagement terms for a period of 12 months following the end of the engagement, unless a placement fee is paid as specified in the service agreement.
- Compliance with Law: Comply with all applicable labor laws, tax obligations, employment standards, and worker classification requirements regarding placed talent.
- Performance Management: Address any performance concerns through the agreed performance management process and notify DimeRepublic promptly of any issues.
4. Monitoring and Enforcement
DimeRepublic reserves the right, but does not assume the obligation, to monitor use of our services, systems, and platforms for compliance with this AUP. Our monitoring activities may include:
- Automated scanning and analysis of network traffic, system logs, and usage patterns to detect suspicious or prohibited activities.
- Manual review of reported violations and suspected breaches of this AUP.
- Investigation of any activity that we suspect may violate this AUP, applicable law, or the rights of third parties.
- Cooperation with law enforcement authorities in the investigation and prosecution of illegal activities.
We may take any action we deem appropriate in our sole discretion to enforce this AUP and protect our services, users, and business operations.
5. Reporting Violations
If you become aware of any actual or suspected violation of this AUP, you must report it immediately to DimeRepublic. Prompt reporting helps us take timely action to address violations and protect our community. To report a violation:
- Email: Send a detailed report to contact@dimerepublic.com or contact@dimerepublic.com.
- Required Information: Include the following details to enable effective investigation: (a) a clear description of the alleged violation; (b) the date, time, and duration of the violation; (c) the username, IP address, or other identifier associated with the violation; (d) any relevant URLs, screenshots, logs, or other supporting evidence; and (e) your contact information for follow-up purposes.
- Confidentiality: Reports may be submitted anonymously or confidentially. We will protect the identity of reporters to the extent permitted by law.
- Acknowledgment: We will acknowledge receipt of your report within 3 business days and take appropriate investigative and remedial action.
6. Consequences of Violations
Violation of this AUP may result in any or all of the following actions, depending on the nature, severity, and frequency of the violation:
- Warning: Issuance of a formal written warning requiring immediate cessation of the violating activity.
- Temporary Suspension: Immediate suspension of access to our services and platforms pending investigation, without prior notice if the violation poses an imminent risk to our systems or other users.
- Termination: Termination of your account, service agreement, and access to all services without refund of prepaid fees.
- Content Removal: Removal or deletion of any content, materials, or data that violate this AUP.
- Legal Action: Referral to appropriate law enforcement authorities for investigation and prosecution, and cooperation with those authorities in legal proceedings.
- Financial Liability: You may be held financially liable for any damages, losses, costs, or expenses incurred by DimeRepublic or third parties as a result of your violation, including reasonable attorneys' fees and legal costs.
- Injunctive Relief: DimeRepublic may seek injunctive or other equitable relief to prevent or stop violations of this AUP.
7. Updates to This Policy
We may update this Acceptable Use Policy from time to time to address new threats, regulatory requirements, or changes in our business operations. We will notify users of material changes by posting the updated policy on our website and updating the "Last updated" date. Continued use of our services after changes take effect constitutes your acceptance of the revised policy. If you do not agree with any changes, you must stop using our services and notify us to terminate your account.
